Northwest Missouri Aero Group Acquires Controlling Interest in ATD Flight Systems

Northwest Missouri Aero Group, led by St. Joseph-based Managing Partner Lute Atieh, acquired a controlling interest in ATD Flight Systems on June 8, 2026. ATD Flight Systems was founded in 1996 by Bill Hays and serves as parent company to ATD Air Charter, an FAA Part 135 on-demand jet charter operator; ATD Aircraft Management; and ATD Pilot Training, an FAA-approved Part 141 school. ATD has held its Part 135 certificate and Part 141 approval for over 20 years.

Keara Neifach, who led ATD for the past five years and is the daughter of the founder, remains an owner and continues to work with the new partners. The combined organization operates 25 aircraft and employs approximately 75 full- and part-time team members across five locations: Kansas City, Clinton, St. Joseph, and Columbia, Missouri, as well as Cedar Rapids, Iowa.

ATD's charter and aircraft management operations center on Citation XLS+ and CJ-series aircraft, supported by in-house pilot training and maintenance, with the Pilatus PC-12 slated as the company's next platform. All charter pilots are employed full time, and every charter flight is operated with two pilots. ATD operates from Charles B. Wheeler Downtown Airport and frequently repositions aircraft to regional airports or arranges black car service to its downtown base. ATD holds FAA examining authority for approved Part 141 courses, a distinction held by approximately 15% of certificated Part 141 schools nationally, according to FAA data.

Beginning in October 2026, ATD will offer upset prevention and recovery training and tailwheel training, with twin-engine and instrument boot camps also available in downtown Kansas City. FlyTech provides Part 61 training in St. Joseph, with Clinton service planned. Northwest Missouri Aero Group brings together pilots, aviation educators, business operators, investors, and enthusiasts focused on expanding aviation services and rural flight training, including time-critical transportation of healthcare teams and organs.

Ownership changes at regional charter and training operators often hinge on keeping certificates, personnel and customer relationships intact rather than restructuring around a new brand, and this transaction follows that pattern by retaining the founder's daughter as an owner and operator. Part 135 and Part 141 approvals take years to build, and Part 141 examining authority in particular is held by only a minority of schools nationally, so an acquiring group typically values continuity of certificate holders and instructors as much as the fleet itself.

Combining charter, aircraft management and flight training under one ownership structure lets an operator cross-sell pilot training pipelines into charter crewing needs, which matters in a segment where two-pilot staffing and full-time crews are cost drivers. The planned addition of the Pilatus PC-12 and new training courses such as upset prevention and tailwheel instruction signal an intent to widen both the fleet mix and the training curriculum rather than simply consolidate existing operations.

What happens with the planned Clinton training service, and how quickly the PC-12 enters the operating fleet, will indicate whether this remains primarily a Missouri-Iowa regional platform or expands its footprint further.
