First Class Air Acquires Vertical Aerospace, Adding 226,000-Sq-Ft Oklahoma Structural MRO and Manufacturing Facility
Why It MattersThe deal shows how MRO consolidation is increasingly built around bundling structural repair, engineering and parts manufacturing into a single platform to widen the service offer to existing customers.
What happened
First Class Air has acquired Vertical Aerospace, an aviation MRO provider based in Bristow, Oklahoma that specializes in complex aircraft structural repair, engineering and fabricated part manufacturing. The acquisition brings First Class Air's portfolio to six specialized aviation companies: Cargo Repair, First Class Air Support, Cobalt Aero Services, Innodyne Systems, Survival Products and Vertical Aerospace. Financial terms of the transaction were not disclosed.

Vertical Aerospace will continue operating from its 226,000-square-foot facility in Bristow under Founder and General Manager Tray Siegfried. The company serves commercial, cargo and military aircraft, with specializations including nacelles and thrust reversers, flight control surfaces, composite and metallic structural repair, cowlings, ducts, exhaust components, NDT and specialized processing. Its quality system is AS9100 Rev. D certified, and it holds FAA and EASA repair station certifications. The Bristow facility includes an autoclave and clean room, phosphoric acid anodize and cleaning capabilities, NDT, heat treat, welding, laser tracking, and engineering and design systems.
"Vertical Aerospace is a great addition to First Class Air providing another highly experienced team and differentiated capabilities which complement the services we provide across our organization," said Isac Roths, CEO of First Class Air. "By bringing Vertical Aerospace's structural repair, engineering and fabricated part manufacturing expertise together with our existing distribution, MRO, DER, PMA, teardown and exchange capabilities, we can provide customers with even more solutions through one integrated company." First Class Air is backed by O2 Investment Partners.
Industry impact & what to watch
This acquisition fits a broader move among MRO platforms to assemble structural repair, engineering and parts manufacturing under one roof rather than leaving customers to coordinate separate vendors for each capability. Private-equity-backed consolidators like First Class Air, supported here by O2 Investment Partners, typically pursue this kind of bundling to cross-sell across a customer base that previously needed distribution, teardown, exchange and now structural repair from different suppliers.
For the structural MRO segment specifically, certifications such as AS9100 Rev. D and FAA/EASA repair station approval, along with capital-intensive capabilities like autoclaves, clean rooms and NDT, are what make a facility like Vertical Aerospace's Bristow site valuable as an acquisition target rather than something a buyer could easily replicate organically.
What happens next will depend on how First Class Air integrates Vertical Aerospace's engineering and fabricated part manufacturing with its existing DER and PMA capabilities, and whether the combined entity wins new contracts across commercial, cargo and military customers as a result of the broader service offering now under one ownership structure.
